1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern access to and use of IM Connect MCP (the “Service”), provided by Moguls Online Pvt. Ltd., operating as Internet Moguls (“Internet Moguls,” “we,” “us,” or “our”). By authorizing account access, configuring, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Service Description
IM Connect MCP is a Model Context Protocol (MCP) server that connects to Google services (GA4, Google Ads, Search Console, Google Business Profile, PageSpeed Insights) and Meta services (Marketing API, Graph API, Conversions API) on behalf of an authorized user, and makes the resulting data available for reporting, automation, and AI-assisted analysis. The Service is developed and operated by Internet Moguls, initially for use across its own client accounts, and may be made available to external agencies and properties at Internet Moguls' discretion.
3. Eligibility
The Service is intended for business use by marketing, revenue management, and technology professionals who have legitimate authority over the Google and Meta accounts they connect. You must be at least 18 years old and legally able to enter into a binding agreement to use the Service.
4. Account & API Access Responsibilities
You are responsible for:
- Ensuring you have the necessary authority and platform permissions to connect any Google or Meta account to the Service.
- The accuracy of information provided when requesting access or configuring integrations.
- Promptly revoking access if a connected account changes ownership, or if access is no longer required.
- Any activity that occurs through API access you have authorized, including automated workflows you configure.
5. Acceptable Use
You agree not to:
- Access, scrape, or attempt to access data outside the scopes explicitly authorized through Google or Meta's permission systems.
- Reverse engineer, decompile, or attempt to extract the source code or underlying architecture of the Service, except where applicable law expressly permits it.
- Use the Service to violate Google's or Meta's platform terms, advertising policies, or applicable data protection law.
- Use the Service to build a competing data-connector product using data or access obtained through it.
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
6. Google Ads Write-Access Disclaimer
Where a connected account authorizes write access to Google Ads, IM Connect MCP may create or modify campaigns, budgets, bids, or statuses on behalf of the account owner, either on request or through configured automation. You acknowledge and agree that:
- You are solely responsible for reviewing and approving any automated or AI-assisted changes before they take effect, where a review step is available, and for monitoring account performance after changes are applied.
- Internet Moguls is not liable for advertising spend, performance outcomes, or account penalties resulting from write actions taken through the Service, whether initiated manually or through automation, except to the extent caused by our gross negligence or willful misconduct.
- All write actions are logged for audit purposes and can be reviewed on request.
7. Data Ownership
You and your clients retain full ownership of all data originating from your connected Google and Meta accounts. Internet Moguls does not claim ownership over client platform data accessed or processed through the Service. Internet Moguls retains ownership of the Service itself, including its software, infrastructure, and any aggregated or de-identified insights generated to operate and improve the Service, provided such insights do not identify a specific client account.
8. Intellectual Property
The Service, including its underlying software, design, and documentation, is the intellectual property of Internet Moguls and is protected by applicable intellectual property laws. These Terms do not grant you any rights to Internet Moguls' trademarks, branding, or proprietary technology beyond what is necessary to use the Service as intended.
9. Service Availability
The Service is provided on an “as available” basis. Unless a separate signed agreement states otherwise, Internet Moguls does not guarantee any specific uptime percentage or service level, and the Service may be unavailable periodically for maintenance, upgrades, or due to upstream outages at Google, Meta, Anthropic, or other infrastructure providers outside our control.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Internet Moguls shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or advertising spend, arising from or related to use of the Service. Internet Moguls' total liability arising from these Terms or use of the Service shall not exceed the amount, if any, paid by you for the Service in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold Internet Moguls harmless from any claims, damages, or expenses arising from your misuse of the Service, your breach of these Terms, or your violation of Google's or Meta's platform terms in connection with accounts you authorize.
12. Termination
Internet Moguls may suspend or terminate access to the Service at any time, with or without notice, for conduct that violates these Terms, poses a security risk, or where required by Google or Meta's platform policies. You may discontinue use of the Service and revoke connected account access at any time. Sections relating to data ownership, liability, and governing law survive termination.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Service or legal requirements. Material changes will be reflected by updating the “Last updated” date and version number at the top of this page. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
